When Work Begins

"Work commenced" means the point at which Caldwell CRM begins account setup, configuration, or onboarding for your business. This typically begins within 1–2 business days of your first payment.

First Month Payment

The first month's payment is required to initiate setup. It is fully refundable if you cancel before work has commenced. Once work has commenced, it is non-refundable.

Fee Structure

Plan fees are calculated as a percentage of your business's gross, as defined in your service agreement. The applicable percentage, how gross is measured and reported, and the billing schedule are confirmed in writing during your consultation before any work begins.

Monthly Subscriptions & Auto-Renewal

By enrolling, you authorize Caldwell CRM to automatically charge your payment method each billing cycle until you cancel. To cancel, written notice must be provided at least 30 days before your next billing date via email to caldwellcrm@gmail.com. Your service remains active through the end of the current billing period. The percentage-based fee for that final period (see "Final Billing Period at Cancellation") and any accrued usage charges still apply; no charges apply for periods after it. You may cancel using the same method through which you enrolled.

Annual Reminder

For ongoing subscriptions, Caldwell CRM will provide an annual reminder identifying your active plan, the frequency and amount of charges, and instructions on how to cancel.

Gross Reporting & Billing

Because plan fees are a percentage of your business's gross, your service agreement defines what counts toward gross, the reporting period, and how the figure is documented for each billing cycle. You agree to provide accurate gross figures on the agreed schedule. The exact terms are set out in your agreement and reviewed with you before enrollment.

Caldwell CRM will provide a periodic reminder identifying your active plan, the applicable percentage, and instructions on how to cancel. Payments already made are non-refundable.

Refunds After Work Begins

Once work has commenced, payments already made are non-refundable, and no partial refunds will be issued for unused portions of any billing period.

Outstanding Balances

Cancellation of a subscription does not waive or affect any outstanding balances owed to Caldwell CRM.

Usage-Based Charges

Any accrued usage-based charges (SMS, calls, email) at the time of cancellation remain due and payable.

Final Billing Period at Cancellation

Because fees are a percentage of your business's gross, the fee for your final billing period is calculated on the full gross of that period — it is not prorated to the cancellation date. You agree to provide accurate final-period gross figures, and Caldwell CRM may request reasonable documentation to confirm them. The final percentage-based fee, together with any accrued usage charges, becomes due at the close of that period.

Data, Accounts & Built Assets

The CRM environment, sub-account, automations, funnels, landing pages, websites, and other assets built, configured, or hosted by Caldwell CRM remain the property of Caldwell CRM and are retained by Caldwell CRM upon cancellation. Access to these assets ends at the close of your final billing period. Caldwell CRM is not obligated to transfer, migrate, export, or continue hosting any assets, configurations, or data after cancellation. Any export or transfer of your contact records or content, if offered, is at Caldwell CRM's sole discretion and may be subject to a separate fee, and should be requested in writing before your service ends.

Financial, Tax & CPA Services (Elite)

Business and tax strategy, retirement planning, and related advisory services on the Elite plan are provided by a licensed CPA partner under a separate engagement governed by that provider's own terms, including its own scope, deliverables, and cancellation and refund rules. Cancelling your Caldwell CRM plan does not automatically cancel, and may not entitle you to a refund of, any CPA engagement already underway. Tax and retirement work in progress (for example, year-end planning or a plan setup) may need to be completed or formally closed out under the CPA's terms. Please review the CPA engagement separately.

Retirement Plans & Established Accounts

Any retirement account or plan established with the assistance of Caldwell CRM or its CPA partner (such as a Solo 401(k) or SEP-IRA) belongs to you and is held at your chosen custodian. These accounts are unaffected by cancellation and remain your responsibility to maintain. Caldwell CRM is not the plan administrator, custodian, or fiduciary, and has no ongoing obligation regarding these accounts after cancellation.

Service Suspension or Termination by Caldwell CRM

Caldwell CRM reserves the right to suspend or terminate service for non-payment, abusive conduct, or violation of these terms. Where service is terminated for these reasons, fees already paid are non-refundable.

We use trusted third-party tools to operate our business, including payment processing (Stripe) and CRM/automation platforms. These services process data on our behalf under their own privacy policies.

Your Rights

You may request access to, correction of, or deletion of your personal information at any time by contacting us. We will respond to reasonable requests promptly.

Your California Privacy Rights

If you are a California resident, you have rights under the California Consumer Privacy Act (CCPA), as amended. We do not sell or share your personal information for monetary consideration or for cross-context behavioral advertising, so no opt-out of sale or sharing is necessary. You have the right to: (1) know what personal information we collect and how it is used; (2) request access to your personal information; (3) request correction of inaccurate information; (4) request deletion of your personal information; and (5) not be discriminated against for exercising any of these rights. We also honor recognized browser-based privacy signals, such as Global Privacy Control (GPC). 1. Services

Caldwell CRM provides managed customer relationship management (CRM) setup, automation, and related services for small businesses. The specific services included depend on the plan you select. We reserve the right to modify or improve our services over time.

2. Plans, Fees & Auto-Renewal

By enrolling in a plan, you agree to the recurring percentage-of-gross fee for that plan as set out in your service agreement. Fees recur each billing cycle until cancelled. By providing a payment method, you authorize recurring charges. The applicable percentage and any third-party usage charges are disclosed before you enroll. We will provide a periodic reminder of your active plan, its cost basis, and how to cancel.

3. Cancellation & Refunds

Cancellation and refund terms are governed by our Cancellation & Refund Policy. You may cancel using the same method through which you enrolled, or by emailing caldwellcrm@gmail.com.

4. Client Responsibilities

You agree to provide accurate information, timely access to any accounts needed to deliver services, and to use the services in compliance with applicable laws. You are responsible for the content of messages and communications sent through systems we configure on your behalf, including compliance with anti-spam and telemarketing regulations.

5. Third-Party Platforms

Our services rely on third-party platforms (such as CRM, payment, and messaging providers). Their availability, pricing, and terms are outside our control, and we are not responsible for outages or changes made by these providers.

6. Limitation of Liability

Caldwell CRM provides services on a best-efforts basis. To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages, or for lost profits or revenue. Our total liability for any claim is limited to the amount you paid us in the preceding three months.

7. Changes to These Terms

We may update these terms from time to time. Material changes will be communicated to active clients. Continued use of our services after changes take effect constitutes acceptance of the updated terms.
